Investor Terms & Conditions

DIORA Resort | Investor Relations
Revision 1.1 — draft prepared 22 October 2026

1. Purpose and existing agreements

DIORA Resort is a hospitality and property development startup in the Philippines, not an established income-generating DIORA resort. These general explanations do not replace an investor’s agreement or constitute confirmation that an investment offering has regulatory approval.

Each investor’s rights and obligations depend on the documents actually presented and validly accepted, applicable law and valid amendments. A new website policy does not retrospectively impose a holding restriction, reduce a refund, expand authorized expenditure or release an obligor.

2. Parties and investment structure

DIORA Resort is a project and brand name. The issuer, contractual obligor, fund recipient, manager, property owner and operating company must be identified separately in the applicable investment documents. Brand association does not establish a separate legal entity, ownership of a property or security over it.

Historical quotations use The Daily Denver or The Daily Denver / Diora Holdings and Norwegian organization number 926439251. That number is registered to THE DAILY DENVER - JAHN DENVER THOMASSEN, an enkeltpersonforetak (sole proprietorship). A reference to holdings does not by itself establish an incorporated holding company or issued shares. The legal capacity and obligations of the relevant parties must be assessed under the applicable documents and law.

3. Documents and acceptance

Relevant records may include the original quotation and incorporated terms, attachments, acceptance record, invoice, payment settlement, confirmation, subsequent agreements and amendments. An electronic acceptance notification or payment receipt alone does not establish that every condition for allocation, conversion or share issuance has been completed. Enforceability depends on the circumstances and applicable law.

4. Conditional capital commitments

October 2025 quotations were not uniform. Some state: “If the project proceeds, all investor contributions convert into locked capital for a minimum of five (5) years to ensure project and asset stability.” This applies only where validly agreed and enforceable.

Whether the project-proceeding condition has been satisfied, when a commitment begins, and what rights arise after it ends must be determined from the individual agreement and contemporaneous project facts. This page establishes no new start date, automatic renewal or indefinite extension. Five years does not itself promise repayment, a buyer or a withdrawal right.

5. Authorized use of funds

Funds may be used only within the purposes authorized by the relevant agreement and mandatory law. A limited contribution for appraisal and related costs is not automatically available for general infrastructure, operations, other projects or affiliated businesses. A material change requiring consent must be separately and validly documented.

Investors may request records of amounts received, authorized expenditure, outstanding third-party obligations and remaining funds, subject to applicable information rights. Lack of available cash does not by itself extinguish an enforceable refund or repayment obligation.

6. Shares and conversion

A tier name, contribution, certificate, recognition benefit or reference to locked or convertible capital does not itself prove that shares have been issued. Any conversion or equity entitlement must identify the actual issuer, instrument, class, valuation or formula, conditions, timing, dilution and outcome if conversion does not occur. Applicable corporate and foreign-ownership requirements must be satisfied.

7. Different historical refund provisions

Certain earlier Phase 1 quotations state that funds will be refunded in full within 90 days if appraisal does not take place. They also address non-refundable appraisal and related expenditure if appraisal is completed but the project stops.

Other quotations provide for a refund of remaining unspent funds after applicable third-party obligations if the project or acquisition does not proceed following appraisal and due diligence. These provisions are different and must be applied to the investor’s own agreement. This page does not replace a full-refund promise with an unspent-balance calculation.

8. Exit requests and transfers

Investors may request clarification, a contractual refund or repayment, or a voluntary transfer or buyout. An existing legal entitlement must be distinguished from a proposed negotiated alternative. A request alone does not complete a transfer, and a buyer or price is not guaranteed.

Any voluntary arrangement should identify the buyer, interest, price, fees, approvals, payment conditions, timetable and consequences of non-completion. A proposed buyer-search period is not a repayment deadline unless a binding agreement establishes it. Existing contractual deadlines and mandatory remedies remain unaffected.

9. Investment risks

Investors may receive no return, lose all invested capital and be unable to sell or recover their investment. Risks include acquisition failure, unavailable financing, cost overruns, delays, title and permit issues, operational losses, dilution, currency movements and cross-border enforcement. Do not assume escrow, insurance or property-backed security without the relevant current documentation. Any existing obligation to provide a protection remains unaffected.

10. Disputes and amendments

The applicable agreement and mandatory law determine dispute procedures. Some quotations select Philippine law and amicable mediation; that does not necessarily displace mandatory Norwegian protections, jurisdictional rules or access to regulators and remedies. Any substantive amendment requires a valid legal basis, including investor consent where required. Access to existing records is not conditional on accepting new restrictions.
